These Terms & Conditions ("Terms") are a legal agreement between you and WhatsApp Business Suite ("WhatsApp Business Suite", "we", "us" or "our") and govern your access to and use of our website and WhatsApp Business messaging platform (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility & accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. When you create an account you agree to provide accurate information, keep your credentials confidential, and accept responsibility for all activity under your account. You are responsible for your team members and anyone you invite to your workspace.
2. The Service
WhatsApp Business Suite provides software that connects to the official WhatsApp Business Platform (the WhatsApp Cloud API operated by Meta Platforms, Inc.) to let you send and receive messages, run campaigns, manage contacts and view analytics. We are an independent provider and are not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or WhatsApp LLC. Your use of WhatsApp is additionally subject to Meta’s and WhatsApp’s own terms and policies.
3. Acceptable use & messaging compliance
You agree that you will not, and will not permit others to:
- send messages without valid opt-in/consent, or send spam, unsolicited, deceptive or unlawful messages;
- violate the WhatsApp Business Messaging Policy, Commerce Policy or any applicable law or regulation;
- promote prohibited goods or services, or send content that is illegal, harmful, hateful or infringing;
- upload contact data you do not have a lawful basis or consent to message;
- attempt to disrupt, reverse-engineer, scrape, overload or gain unauthorised access to the Service; or
- resell or misrepresent the Service without our written permission.
You are solely responsible for the content of your messages and for maintaining a high message quality rating. Violations may result in suspension of your WhatsApp number by Meta and/or suspension of your account by us.
4. Fees, wallet & billing
- Creating an account is free. Certain features require a paid plan and/or a funded prepaid wallet.
- Messaging incurs per-conversation charges set by Meta. You fund these through your prepaid wallet, and charges are debited as messages are sent or conversations are opened.
- Fees are stated exclusive of taxes unless noted; you are responsible for applicable taxes.
- Refunds, where available, are governed by our Refund Policy.
5. Your data & content
You retain all rights to the data and content you upload, including your contacts and messages. You grant us a limited licence to host, process and transmit that content solely to provide the Service. Our handling of personal data is described in our Privacy Policy. You represent that you have all rights and consents necessary for us to process your content and to message your contacts.
6. Intellectual property
The Service, including its software, design, and trademarks, is owned by WhatsApp Business Suite and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights. “WhatsApp” and related marks are trademarks of their respective owners.
7. Third-party services
The Service relies on third parties, including Meta/WhatsApp, cloud hosting and payment providers. We are not responsible for the availability, acts or omissions of those third parties, and your use of them may be subject to their own terms.
8. Suspension & termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure, fail to pay fees, or if required to do so by Meta or by law. Upon termination, your right to use the Service ceases; sections that by their nature should survive will survive.
9. Disclaimers
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, or that messages will always be delivered — delivery depends on Meta, WhatsApp and the recipient.
10. Limitation of liability
To the maximum extent permitted by law, WhatsApp Business Suite and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us in the three (3) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless WhatsApp Business Suite from any claims, damages, liabilities and expenses arising out of your content, your use of the Service, your violation of these Terms, or your violation of any law or third-party rights (including messaging without valid consent).
12. Governing law & jurisdiction
These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the competent courts located in India for any dispute arising out of or relating to these Terms or the Service.
13. Changes to these Terms
We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
